Operator: AIMSTUDIOS (“the Company”, “we”, “us”, or “our”)
Governing Law: England and Wales
1.1. By applying to, onboarding with, or accepting work within the AIMSTUDIOS Creator Collective (the “Collective”), you (“Creator”, “you”) agree to be bound by these Master Terms of Engagement.
1.2. Acceptance into the Collective confirms your placement on AIMSTUDIOS’ approved roster of creative talent. Placement on the roster does not constitute an employment relationship or guarantee any minimum volume of work.
1.3. Specific production commissions are agreed on a project-by-project basis via an approved Statement of Work (“SOW”), purchase order, or written brief detailing scope, deliverables, fees, and deadlines.
2.1. Confidential Information: You acknowledge that all client names, briefs, budgets, day rates, treatments, scripts, storyboards, footage, audio, launch schedules, and business communications shared with you by AIMSTUDIOS or our clients are strictly confidential.
2.2. Obligations: You agree:
- To hold all Confidential Information in strictest confidence and use it solely to fulfill commissioned work for AIMSTUDIOS.
- Not to disclose, leak, discuss, or share any Confidential Information in any public or private forum without prior written authorization from AIMSTUDIOS.
- To strictly observe all campaign embargoes. Unreleased projects, behind-the-scenes material, stills, or clips must never be shared prior to official public launch by the client.
2.3. Survival: These confidentiality obligations remain in full effect indefinitely or until the information enters the public domain through no fault of your own.
3.1. Full Assignment: In consideration of agreed project fees, you assign to AIMSTUDIOS (or directly to the commissioning client, as specified in the SOW) with full title guarantee the entire copyright, design rights, and all other intellectual property rights worldwide in all deliverables, raw footage, edits, sound recordings, animations, and project files created under any AIMSTUDIOS engagement.
3.2. Waiver of Moral Rights: To the fullest extent permitted by law (including under Chapter IV of the Copyright, Designs and Patents Act 1988), you irrevocably waive all moral rights, rights of attribution, and rights to object to derogatory treatment or modification of the work.
4.1. Deliverables are not deemed accepted until all required source files—including raw camera rushes, audio stems, graphic assets, fonts, and clean, unflattened project files (e.g. Adobe Premiere, DaVinci Resolve, After Effects)—are delivered in an organized, industry-standard directory structure.
4.2. You shall not withhold, encrypt, watermark, or restrict access to any project files, assets, or raw footage once agreed project fees are settled.
5.1. Originality & Licensing: You represent and warrant that all content and assets supplied by you—including music, sound effects, stock footage, stills, graphics, fonts, 3D assets, and plugins—are either:
- Entirely original to you and do not infringe any third-party intellectual property; or
- Fully and validly licensed with all commercial, digital distribution, and broadcast rights cleared for AIMSTUDIOS and its clients, free of recurring royalties or residual fees.
5.2. Prohibited Material: You must not incorporate or upload any unlicensed, uncredited, “fair use”, non-commercial, or watermarked preview assets into final deliverables.
5.3. Indemnity: You agree to defend, indemnify, and hold harmless AIMSTUDIOS and its clients against all claims, losses, damages, legal costs, and platform takedowns/strikes resulting from any breach of these intellectual property warranties.
6.1. You shall not use generative AI tools, models, or automated synthesis software (including image, video, voice, or text generators) to create or alter any client deliverables without prior written approval from AIMSTUDIOS.
6.2. You must never upload or ingest any confidential client assets, footage, scripts, or project materials into public AI platforms or machine-learning models where client data may be stored, leaked, or used for model training.
7.1. Where your scope of work involves filming or photography, you are responsible for obtaining signed, legally binding model releases, location permits, and UK GDPR-compliant data consents for all identifiable persons, private locations, and proprietary assets captured.
7.2. Signed releases and documentation must be delivered to AIMSTUDIOS alongside project handovers.
8.1. All project assets, scripts, and footage must be stored on password-protected, encrypted local drives or authenticated cloud storage.
8.2. You must never transfer client assets via unencrypted or publicly accessible links (e.g. open, unprotected file-sharing links).
8.3. Following project delivery and handover confirmation, you agree to archive or permanently delete local copies of client assets as instructed by AIMSTUDIOS.
9.1. You are admitted to the Collective based on your personal vetting, experience, and portfolio. You agree to perform all commissioned work personally.
9.2. You shall not outsource, subcontract, or delegate any part of an assigned project or share project materials with third parties without prior written consent from AIMSTUDIOS.
10.1. For a period of twelve (12) months following the completion of any project, you agree not to directly or indirectly pitch to, solicit, contract with, or perform creative/production services for any client introduced to you through AIMSTUDIOS, without our prior written consent.
10.2. In the event of a breach of this clause, AIMSTUDIOS reserves the right to seek injunctive relief and claim damages, including standard agency commissions on resulting work.
11.1. You may not publish, showcase, or reference any client project, case study, deliverable, or behind-the-scenes footage on your personal website, social media, or showreel until:
- The client has officially and publicly released the campaign; and
- You have received explicit written permission from AIMSTUDIOS specifying approved clips, context, and credits.
12.1. When on set, in production meetings, or communicating with clients, you represent AIMSTUDIOS. You agree to maintain an immaculate standard of professional conduct, punctuality, and industry etiquette.
12.2. You must never discuss day rates, agency margins, production budgets, or internal business operations directly with clients.
13.1. Collective members providing on-set production services or bringing technical kit must hold valid Public Liability Insurance (minimum £2,000,000 cover) and appropriate equipment insurance.
13.2. Proof of insurance must be provided upon request prior to attending any production shoot.
14.1. You act solely as an independent self-employed contractor and not as an employee, partner, or worker of AIMSTUDIOS.
14.2. You are solely responsible for the calculation, reporting, and payment of all applicable taxes, National Insurance contributions, VAT, and statutory levies due on fees paid to you.
15.1. AIMSTUDIOS reserves the right to immediately suspend or terminate your membership in the Collective and cancel any active SOW for cause if you breach confidentiality, miss agreed milestones, fail quality standards, or breach IP warranties.
15.2. These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
